There's gonna be some sellers in the morning. If they tell you a good story, it might be time to "buy on a dip" (or run the other way!).

I think overall SPM is very cheap and will be a great investment. I know of a few "bulk samplers" that have had a heck of a time keeping their mills running without down time. I don't think SPM will have an issue with production. They are very methodical in their approach and have many redundancies built into their operations.

I agree with SilverSleuth. SPM will surprise to the upside when they start producing. Someday soon, SPM will take the market by storm...I have too much patience and faith though, so biased is as biased does.

PostSubject: Lost opportunity cost?   SCORPIO MINING (SPM.to) or (SMNPF.pk) - Page 2 Icon_minitimeTue Oct 16, 2007 7:36 am

I hope the company knows what it is doing. Otherwise, owning this stock will have been and continue to be a lost opportunity cost. Here is what Coach247 has to say:

Quote :
I am pissed off as a shareholder, but I am trying to reserve judgement until I hear the whole story. It would make sense if they have something else special to raise that money for. Otherwise it would be very stupid to dilute the company so soon before they can establish production and earnings. Management is not stupid, so we can probably look forward to something good coming later on. I suspect that there will be a lot of weaping and wailing on the forums and perhaps a dip in the shareprice. And it would appear that someone has been selling into this news for a while, with a short position that will be covered in PP shares. As always, the little investors are the ones that put the money up first and are the last to get paid...

Scorpio Mining Announces Pricing for Private Placement Financing

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Oct. 16, 2007) -

NOT FOR DISTRIBUTION TO U.S. NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE
UNITED STATES

Scorpio Mining Corporation (TSX:SPM) (the "Company") is pleased to announce
that it has finalized the pricing of its previously announced $20 million best
efforts private placement (the "Offering") of units of the Company (the
"Units") at a price of $1.40 per Unit. Each Unit will consist of one common
share of the Company (a "Common Share") and one quarter of one common share
purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle
the holder to acquire an additional Common Share for a period of 36 months
from the closing of the Offering at a price of $1.85 per Common Share. The
Company has retained a syndicate of agents led by CIBC World Markets Inc. and
including Blackmont Capital Inc. (the "Agents") in connection with the
Offering. The Agents have been granted the option to increase the size of the
Offering by up to $2 million at any point prior to 48 hours before closing of
the Offering.

Net proceeds from the Offering will be used to finance further development and
exploration of the Company's Nuestra Senora silver project in Sinaloa State,
Mexico, and for general corporate purposes, including working capital.

The Agents will receive a cash commission equal to 7% of the gross proceeds
arising from the Offering and compensation options exercisable into that
number of Common Shares equal to 7% of the number of Units sold pursuant to
the Offering. The compensation options will have an exercise price equal to
the issue price of the Units and the same term as the Warrants issued to
investors under the Offering.

The Common Shares and Warrants comprising the Units will be subject to a
four-month hold period under applicable securities laws. The Offering is
subject to certain conditions, including, but not limited to, the receipt of
all necessary regulatory and stock exchange approvals.

Scorpio Mining Corporation is a TSX-listed silver exploration and development
company with a primary focus on the exploration and development of its 100%
owned Nuestra Senora project. Nuestra Senora is a poly-metallic
silver-zinc-lead-copper deposit located in the Cosala Mining District in the
state of Sinaloa, Mexico. The project is slated for commercial production in
the second quarter of 2008.

The securities being offered have not, nor will they be registered under the
United States Securities Act of 1933, as amended, and may not be offered or
sold within the United States or to, or for the account or benefit of, U.S.
persons absent U.S. registration or an applicable exemption from the U.S.
registration requirements. This release does not constitute an offer for sale
of securities in the United States.

I just got off the phone with Glenn Little from SPM IR.

Glenn only heard that this was coming late last night. The reason for the PP is simple and I should have known instantly. The reason is the previous warrants were not exercised because of the Aug. market drop. I knew all along that SPM would need that money to reach production. The buget shortfall was 15 million without this PP. The good news is that...well this is just a rumor; I hear Research Capital and CIBC Financial are going to support the share price at $1.40. Looks like it could be stuck here for the next 30 days.

I don’t think it has anything to do with the warrant holders or with the August market drop. Instead, we should ask--

What has changed at the company that they would now want to raise money when they flatly stated they didn’t need to before?

I put the question to Glen Little, and he made some interesting comments. He said many companies were experiencing cost over-runs, and that although he has no information that has not already been reported, that this is possible. Then I asked him about possible delays, and he said he didn’t know. It is unusual to hear such comments from a company’s own PR firm.

Even so, the $20 million amount is clearly excessive. Here’s why:

(1) There is $13 million in the bank currently, and the 17 million warrants from the previous financing ($24 million) will clearly be exercised this spring. Any temporary shortfalls could have been made up with small financing(s).

(2) Better terms by waiting: Higher stock price as we move quickly toward production and due to seasonal strength. Also, the stock price doesn’t get pushed down in anticipation of small financings.

PostSubject: Spin-Off Then Merger?   SCORPIO MINING (SPM.to) or (SMNPF.pk) - Page 2 Icon_minitimeMon Oct 29, 2007 8:47 am

What's up with the Scorpio Gold and BacTec merger? Any thoughts on this merger and recent financing of Scorpio?

I just spoke with Investor Relations at Yes International and they said that the spin-off of Scorpio Gold is still pending being held up in the bureaucracy of Canada. No set date for the spin-off. The merger with BacTec will take place after the spin-off is complete and all this legal stuff is in progress! Suspect Boy if that doesn't confuse shareholders nothing will! This will likely cause a trading malaise until it is all resolved.

Hi Dan,

I agree that Scorpio has done a poor job in communicating with share holders. I don't know what to say about the BacTec merger, other than to say that I have on numerous occasions been tempted to buy BacTec for the technology they possess. I still believe that the spin-off is not that big a deal, more a distraction.

I am very biased because of my large and underwater position, but I have visited them in Mexico twice now and for some reason have no doubt about future rewards for holding.

I know this really does not answer your questions. Maybe some one interested in Scorpio could give a nonbiased assessment.

Bull:

Thanks. I am glad you have confidence in SPM but my confidence meter is decreasing and am thinking of moving to greener pastures like Alexco or Atna. The $1.40 warrants will be like an anchor until next spring unless some news causes them to be exercised sooner rather than later. Any figures on how many warrants are still outstanding? I am still in this one but my finger is on the sell button for now.

Scorpio Gold Corporation Signs Definitive Agreement for Merger with BacTech and Moves Forwards Towards Listing TSX:SPM

VANCOUVER, Oct. 30 /CNW/ - Scorpio Mining Corporation (TSX:SPM) is
pleased to announce that its 93% owned subsidiary, Scorpio Gold Corporation
and BacTech Mining Corporation ("BacTech") have completed their respective due
diligence reviews for the proposed merger between the two companies. As a
result, the parties entered into a definitive merger agreement ("Definitive
Agreement") on October 26, 2007.
BacTech will now call a meeting of shareholders to vote on the merger and
related matters. BacTech has secured expressions of support for the merger
from over 40% of its shareholders.
Pursuant to the terms of the Definitive Agreement, BacTech will issue 2.6
common shares for each common share of Scorpio Gold outstanding and it is
anticipated that in connection with the transaction BacTech will change its
name to Scorpio Gold Corporation. The merger will result in Scorpio Mining
Corporation becoming the controlling shareholder of the new company.
The combined company will hold interests in two past producing gold mines
in Nova Scotia, a polymetallic exploration project in the Gaspe, Quebec as
well as additional projects under evaluation by BacTech and Scorpio Gold
Corporation.
Peter J. Hawley, Chairman, CEO comments, "All parties involved are very
excited with this business combination, especially the world wide application
of BacTech's bioleaching technology which is environmentally friendly and able
to recover difficult metals, as already demonstrated though use of the
technology in China and Mexico. During my recent travels I was quite surprised
at the interest and support the European financial community expressed
concerning the usage of the BacTech technology combined with the track record
of Scorpio as an aggressive, fast moving mining company. We will aggressively
pursue not only start up operations with gold credits but look at the usages
of the technology in countries that have serious environmental concerns. In
that Scorpio Mining will be the majority shareholder of the merged company, it
is expected that its expertise and knowledge in Mexico will be advantageous to
allow the new company to be able to exploit its cutting edge technology in
that country and elsewhere."

BacTech Profile

BacTech has developed and patented bacterial oxidation technology for the
treatment of refractory ores and complex "dirty" concentrates to enhance the
recovery of gold, silver and base metals, is environmentally friendly and is
one of two companies world wide with a proven commercial track record for
bioleaching, the other being Goldfields. BacTech has successfully commissioned
three bioleach plants for gold, such as the China Laizhou project of Golden
China Resources, which is currently being taken over by Sino Gold Mining and
is undergoing a current expansion to 150,000 ounces of gold per year and
accepts concentrates from 13 different mines in China. In addition, BacTech
demonstrated its technology, in the selective recovery of base metals from
complex sulphide concentrates in a joint venture project with Industrias
Penoles de C.V of Mexico with a plant set up in Monterrey where dirty
copper-zinc-lead-gold and silver concentrates from four mines in Mexico were
processed by the technology resulting in selective recoveries of copper and
zinc by SX-EW methods and selective recoveries of gold and silver dore.
For further information on the Company and the Nuestra Senora project
plus the Nova Scotia and Quebec assets of Scorpio Gold please visit the
Scorpio Mining web site at: www.scorpiomining.com. President, Mr. D. Roger
Scammell, PGeo, is the Company's Qualified Person for the technical
information in this news release.

Here is the difference between two managements:

PEZ waits for a spike in price and raises some money (at $1.50), then waits for a further spike and raises some more money (at $3.00).

SPM raises all the money at one time at a depressed price, even though continuing fantastic news would have to eventually produce a price spike.

Can you imagine what today's SPM news would have done to the price on such a strong day for metals as we had today, if SPM had not raised funds so irresponsibly?

Still holding, though.

Bull,

What do you think of the stock options (and their price) mentioned in the recent press release?

Do you still own any of this stock? I still have half of my original shares; most recently put some into Minco Gold (which has more than 100% of its value in the stock of Minco Silver!)

Should Scorpio still be #2 on your silver stock list?

I am not very happy about the pricing of the new options.

SPM holds it's position at #2 because of their near term production profile.

I think SPM has low risk at this price; conversely, the upside could be substantial as they reach production.

Thanks! ...any idea of "the numbers"? Can they be profitable at the current price of energy, metals and Pesos?

They probably won't produce profitably for 6 months to a year from now. This is mostly due to polishing operations, which I believe is very well handled by Eric Venet. That said, once the tweaking of this new mill is complete, I see them making money at current metal prices. They will need slightly higher metals prices if oil prices where to rise in Mexico. I doubt this will happen quickly or in a significant way - the people of Mexico would not stand for it. Also, if global oil prices rise sharply from here, which I believe to be likely, then Mexico is in a stronger position to keep subsidies in place.

SPM is still milling low grade development material, when they start processing zone ore, which will not be much longer, then we should see profits. I think it is wise of them to first use the low-grade without mixing in higher grade in order to maximize recoveries. They have made great strides in their efforts, but I believe they will continue to find efficiency's which can be easily implemented.

http://finance.yahoo.com/news/Scorpio-Provides-December-cnw-14292034.html

"All-in" costs of $30/ton (Loonies or Greenbacks?) to make the concentrates. Sounds like reasonable margins to me, depending on their trucking and refinery costs. I have a little Great Panther as a similar speculative play on a recovering metals market

Thanks for the link. I hadn't noticed that yet. So it looks like they have really done well in improving recoveries, and are now starting to mix ore. They are exceeding my expectations, so I'm very pleased with that.

I think the costs are calculated in US dollars, but not positive. Also, the costs quoted are just for the MExican operations, which do not include admin cost coming from Canada. I don't have the numbers on what that would add to overall costs at 750 tpd.

Looks like things are going well, though. I hope to visit again, soon.
